These Terms of Service outline the legally binding rules, permissions, and conditions governing your access to VaultSoft Labs platforms, developer tools, and AI software.

1. Acceptance of Terms
By accessing, browsing, testing, or utilizing any website, API, tool, or software provided by VaultSoft Labs ("VaultSoft Labs," "we," "us," or "our"), including but not limited to vaultsoftlabs.com and interactive tools such as VaultSlides, you agree to comply with and be bound by these Terms of Service.
If you do not agree to all of these Terms, you must immediately cease accessing or using our services.
2. Eligibility
You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use our services. By using our services, you represent and warrant that you have full power, capacity, and legal authority to enter into these Terms on behalf of yourself or any business entity you represent.
3. Acceptable Use Policy
You agree to use our platform and software solely for legitimate and lawful purposes. You agree NOT to:
- Violate any federal, state, local, or international law, rule, or regulation.
- Use AI utilities (such as VaultSlides) to generate hate speech, defamatory material, sexual exploitation content, fraudulent communications, malware, or prompts intended to infringe on intellectual property rights.
- Reverse engineer, disassemble, decompile, or attempt to derive source code from any proprietary software or closed-source components of our platform.
- Perform automated crawling, scraping, data extraction, or stress-testing against our endpoints without express written permission.
- Interfere with, overload, circumvent rate limits, or disrupt the integrity or security of our servers, networks, or connected APIs.
4. AI Tools & Generated Content (VaultSlides)
VaultSoft Labs provides intelligent applications, including VaultSlides (an AI-driven presentation generator). When interacting with our AI features, the following terms apply:
A. User Input Ownership: You retain all ownership rights to any text, ideas, topics, outlines, or materials that you submit into our prompts ("Inputs"). You guarantee that you possess all rights necessary to provide such Inputs without infringing third-party rights.
B. Rights to Generated Output: Between you and VaultSoft Labs, and to the extent allowed by applicable law, you own the slides, outlines, and PowerPoint (.pptx) files generated in response to your prompts ("Outputs"). You may use, adapt, display, or distribute your generated decks for commercial or non-commercial purposes.
C. Disclaimer of AI Accuracy: Generative AI models operate probabilistically. VaultSoft Labs does not warrant that AI Outputs will be factually correct, error-free, unique, or suitable for any critical or legal requirement. You bear full responsibility for reviewing, fact-checking, and editing all generated content prior to relying on or presenting it.
5. Intellectual Property & Open Source
VaultSoft Labs IP: All trademarks, service marks, brand assets, logos, website layout, graphics, and proprietary software code are the exclusive intellectual property of VaultSoft Labs.
Open-Source Code: Open-source projects, libraries, or tools published by VaultSoft Labs on GitHub or public registries are distributed under their explicitly designated licenses (such as the MIT License or Apache 2.0). Nothing in these Terms overrides the rights explicitly granted to you under those specific open-source licenses.
6. Third-Party Services & Integrations
Our services utilize third-party APIs and infrastructure to operate, including AI model gateways (e.g., OpenRouter), content delivery platforms (Sanity.io), and cloud infrastructure. We are not responsible for the performance, availability, or policies of third-party platforms.
7. Disclaimer of Warranties
The services, software, tools, and content are provided strictly on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, statutory, or implied.
VaultSoft Labs disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uptime reliability. We do not warrant that our tools will be uninterrupted, error-free, or entirely secure.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall VaultSoft Labs, its affiliates, directors, contractors, or licensors be liable for any indirect, punitive, incidental, special, or consequential damages (including loss of profits, goodwill, data, or business interruption) arising out of or related to your use of or inability to use our services.
Our aggregate liability for all claims arising out of or relating to these Terms or the services shall not exceed the greater of one hundred US dollars ($100.00 USD) or the total amount paid by you to VaultSoft Labs during the preceding twelve (12) months.
9. Indemnification
You agree to defend, indemnify, and hold harmless VaultSoft Labs, its developers, and partners from and against any claims, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of our services, or any content or prompts you submit to our AI tools.
10. Suspension & Termination
We reserve the right, without prior notice or liability, to suspend, terminate, or restrict your access to any or all of our services, APIs, or tools if you violate these Terms, engage in harmful behavior, or if required to do so by legal authorities.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of applicable commercial jurisdiction, without regard to conflict of law principles. In the event of any dispute, the parties agree to first attempt informal resolution in good faith by contacting hello@vaultsoftlabs.com.
